S. private equity Fund: assistance with the acquisition of a chemical group with important plants in Italy for the extraction, production and sale of organic chemicals and borates; the activity included the drafting of retention agreements (with significant incentive systems linked to the restructuring and the achievement of company targets). Leading U.S. asset management Fund with more than 77 billion dollars of assets: assistance with the acquisition of a leading Italian clothing group with about 2,000 employees, in particular with the due diligence examination, assessment activity of all labor law issues and revision of the acquisition agreement to limit the possible liabilities of the purchaser. Leading Italian manufacturing Group in the power transmission systems for motor vehicles sector, with five plants in Italy:assistance with the tender for the purchase of another manufacturing group operating in the production of cable for motor vehicles, with more than 300 employees in three business units in a pre-insolvency phase. In particular, assistance with the due diligence examination and during the phase of assessment of the complex and critical labor and social security issues related to the target company, the possible outsourcing to be implemented in light of the acquisitions and following restructuring operations. Swiss agro-food Group with over 3,500 employees: assistance with the sale to a competing group of an Italian manufacturing company operating in the production of manufacturing products with about 50 employees, in drafting documents for information and consultation procedure with unions, in attending meetings and in revising the preliminary sales agreement. Italian venture capital Fund: assistance with the acquisition of some Italian companies that own historical brands of luxury footwear; in particular due diligence examination, revision of the R&W labor law clauses, assistance during the consultation procedure with unions under art. 47 of Law 428/90 and with the restructuring activities (a first operation provided the reorganization, the redundancy of part of the workforce and the drafting of retention agreement for the strategic management group; another activity concerned the drafting of contracts for the management and the planning and implementation of a collective redundancy procedure for employees employed in a business unit to be shut down).
